“Free For Life” Offer for Health Coaches

1. Purpose

• The purpose of this policy is to define the terms and conditions of the “Free For Life” offer provided to health coaches who received this offer before June 1, 2023. This offer ensures that coaches will never be charged a take rate on their earnings while using the HatchPath platform.

2. Definitions

• “Free For Life” Offer: Refers to the specific offer provided to health coaches who joined the HatchPath platform before June 1, 2023, which exempts them from paying any take rate on their earnings.
• Take Rate: The percentage deducted from the total session fee, which is charged to coaches and HatchPath as platform fees.

3. Scope

• This policy applies only to health coaches who received the “Free For Life” offer before June 1, 2023. Health coaches who joined the platform after this date or who did not receive the offer will be subject to the regular take rate fees.

4. Take Rate Structure

• Regular Take Rate: The regular take rate for coaches on the HatchPath platform is currently set at 20% of the session fee, while the client purchasing the session pays an additional 10%.
• Exemption for “Free For Life” Coaches: Health coaches who received the “Free For Life” offer will be exempt from paying any take rate fees. The entire session fee will be paid to the coach without any deductions.

5. Billing and Payments

• Client Payments: For clients purchasing coaching sessions from coaches who received the “Free For Life” offer, the session fee will remain the same, including the 10% additional charge. Clients will pay the full session fee, which includes the coach’s earnings and the platform fees.
• Coach Earnings: Coaches who received the “Free For Life” offer will receive the full session fee, which is the original session fee minus the 10% platform fee. The platform fee will not be deducted from the coach’s earnings.

6. Amendment and Termination

• Amendment: This policy may be amended or modified at any time by HatchPath at its discretion.
• Termination of Offer: The “Free For Life” offer may be terminated by HatchPath at any time, subject to prior notice. In the event of termination, health coaches who were benefiting from the offer will be subject to the regular take rate fees applicable at that time.

7. Compliance

• Health coaches who received the “Free For Life” offer are expected to comply with all other terms and conditions of their engagement with HatchPath, including code of conduct, client agreements, and any other applicable policies or guidelines.

8. Confidentiality

• All information related to the “Free For Life” offer, including the terms and conditions, shall be treated as confidential by health coaches. Coaches shall not disclose any information pertaining to the offer to third parties without prior written consent from HatchPath.

This policy is effective as of June 1, 2023, and supersedes any prior policies or agreements relating to the “Free For Life” offer for health coaches.

Policy Amendment:

9. Premium Offerings Exclusion

• The “Free For Life” offer provided to health coaches does not extend to any future premium offerings or services that may be introduced by HatchPath. Coaches who received the “Free For Life” offer will be required to pay for any premium offerings separately, in accordance with the pricing and terms specified for such offerings.
• Coaches will be duly informed about the introduction of any premium offerings and the associated costs. Participation in premium offerings will be entirely optional, and coaches who choose to enroll in such offerings will be responsible for paying the applicable fees as per the terms and conditions communicated by HatchPath.
• The exemption from the regular take rate fees, as outlined in sections 4 and 5 of this policy, applies only to the standard coaching services provided by health coaches and does not cover any premium offerings or services introduced by HatchPath in the future.

This amendment is effective immediately and forms an integral part of the “Free For Life” offer policy for health coaches who received the offer before June 1, 2023.

10. Corporate Platform Exclusion, Fee Structure, and Opt-Out Option Effective Date: January 1, 2024

This amendment to the “Free For Life” offer addresses the HatchPath Corporate platform’s introduction and its associated fee structure, along with an opt-out option for health coaches. The amendment is as follows:

a. Definition: The HatchPath Corporate platform is a service tailored for corporate clients, distinct from the standard HatchPath platform for individual clients and health coaches.

b. Exclusion Scope: The “Free For Life” offer is amended to exclude the HatchPath Corporate platform. Health coaches who are part of the “Free For Life” offer and engage in services on the HatchPath Corporate platform will be subject to a separate fee structure.

c. Corporate Platform Fee Structure:

• Health coaches using the HatchPath Corporate platform will incur a fee of 20% per transaction.
• This fee is set as HatchPath does not charge corporate clients an additional premium for platform access.
• The 20% fee will be deducted from the total session fee charged to the corporate client.

d. Agreement to Terms: By continuing to use the HatchPath platform, health coaches agree to this amendment and the specified fee structure for the HatchPath Corporate platform.

e. Opt-Out Option:

• Any health coach wishing to opt out of participating in the HatchPath Corporate platform may do so.
• To opt out, coaches need to send an email to hello@hatchpath.io expressing their decision to not participate in the Corporate platform.

f. Continuation of Standard Offer: The “Free For Life” offer remains effective for services provided through the standard HatchPath platform. This amendment pertains only to the HatchPath Corporate platform.

g. Notification: All health coaches eligible for the “Free For Life” offer will be notified about this amendment and provided with information on how to opt out of the HatchPath Corporate platform if they choose.

This amendment is effective from January 1, 2024, and forms an integral part of the “Free For Life” offer policy for health coaches. It provides clarity on the exclusion of the HatchPath Corporate platform from the “Free For Life” offer, establishes the fee structure for the Corporate platform, and outlines the process for health coaches to opt out of participating in the HatchPath Corporate platform.
